Terms of Service

GuardStein (the "Service") is operated by TW AI Pty Ltd (ACN 697 524 771, ABN 70 697 524 771), trading as Cintelis ("we", "us"). By creating an account or using the Service you agree to these terms. If you use the Service on behalf of an organisation, you confirm you are authorised to bind it.

The Service is a collaborative workspace: Markdown notes, a linked note graph, AI-assisted diagrams, real-time boards, file sharing integrations, read-only share links, optionally end-to-end encrypted vault workspaces, and deal rooms for staged disclosure to people outside your workspace. We may change, add, or remove features; if a change materially reduces something you have paid for, you may cancel and receive a pro-rata refund of prepaid, unused amounts.

You are responsible for your credentials and for activity under your account. Passwords must meet our minimum requirements, and we support and encourage two-factor sign-in with a passkey or authenticator app. Where your account holds a second factor, we require it at sign-in. Workspace administrators can require two-factor sign-in as a condition of joining their workspace.

Vault workspaces are encrypted in your browser before anything reaches us. We hold ciphertext only and no keys. This is the point of the feature, and it has a consequence you must understand and accept: if you lose every unlock method for a vault (password, passkey, recovery codes), its contents are permanently unrecoverable. We cannot reset, recover, or bypass a vault, for you or for anyone else. The Service requires at least two unlock methods at vault creation and issues a recovery code; keeping that code safe is your responsibility.

You own your content. You grant us only the licence needed to run the Service: storing, transmitting, and displaying your content to you and the people you share it with, and processing it where you explicitly invoke a feature that requires it (for example, sending a diagram prompt to an AI model, or exporting a PDF). We claim no other rights, we do not train models on your content, and we do not sell it.

You must not use the Service to store or share content that is unlawful, infringes others' rights, or contains malware; and you must not attempt to breach the Service's security or interfere with other tenants.

Share links and deal rooms let you give people who have no account access to your content. When you do this you decide who is invited, what they can reach, and for how long, and you are responsible for those choices and for having a basis to give us the email addresses you invite. We deliver and enforce what you configure; we do not review it.

Controls differ in strength and we describe them honestly in the product rather than presenting them as equivalent. An expiry and an emailed verification code are enforced. A country restriction is a deterrent that a virtual private network defeats. Recording an email address without verifying it is a label, not a control. In a deal room, a person who has already decrypted a document holds that copy: withdrawing their access stops future requests and cannot reach what they already opened. Watermarks identify a copy; they do not prevent one.

Access to a shared link or a deal room is subject to these terms. People you invite must not misuse the Service, and you remain responsible for content you disclose through it.

The free plan includes one shared workspace and up to five invitations per free workspace. Premium is billed per seat per month in Australian dollars through Stripe: every distinct person across a subscribed workspace and the vault workspaces it covers counts as one seat, added and removed with pro-rata adjustments as membership changes. Diagram credits are one-off purchases that never expire.

You can cancel at any time; access continues to the end of the paid period. A lapsed workspace becomes read-only: nothing is deleted, and your content remains available to read and export indefinitely. Credit purchases are non-refundable except where a law such as the Australian Consumer Law requires otherwise.

We aim for high availability but the Service is provided "as is" without uptime guarantees. Nothing in these terms excludes rights that cannot be excluded under the Australian Consumer Law. To the extent permitted by law, our total liability for any claim is limited to the amount you paid us in the twelve months before the event giving rise to it, and we are not liable for indirect or consequential loss, including loss of data caused by lost vault unlock methods (see section 4).

You may delete your workspaces and stop using the Service at any time; workspace deletion is immediate and permanent. We may suspend or terminate accounts that breach these terms, with notice where practicable and an opportunity to export your content except where the breach makes that inappropriate.

We may update these terms; material changes will be announced in the Service or by email, and the effective date above will change. Your registration records the version you accepted. These terms are governed by the laws of New South Wales, Australia. Questions: nick@cintelis.ai.
